If there is any discrepancy between this agreement and any document from the Customer, this agreement shall take precedence unless modified in writing by EmpowerMedAI.
License Grant
EmpowerMedAI grants a number of user licenses ("User Licenses") as specified in invoices, proposals, or other documentation ("Proposal"). These licenses permit access to EmpowerMedAI’s question bank services, subject to the Privacy Policy on our website. These licenses are non-exclusive, non-assignable, and non-transferable.
Fees and Payments
Unless specified otherwise in a Proposal, all fees ("Fees") are due at the time of purchase. Failure to make payment may result in the termination of service licenses and other rights.
Intellectual Property
All materials and software provided by EmpowerMedAI remain the intellectual property of EmpowerMedAI. Customer may not edit, modify, or redistribute any of EmpowerMedAI’s content except as explicitly allowed under the license.
No Warranties
EmpowerMedAI’s services are offered on an “as is” basis without any warranties, express or implied, including those of merchantability or fitness for a particular purpose.
Limitation of Liability
EmpowerMedAI’s liability will not exceed the fees paid by the Customer for a one-year period. Neither party will be liable for consequential, indirect, or special damages.
Data Analytics
Customers may receive analytics and reports in the ordinary course of service. All other data remains the property of EmpowerMedAI, and EmpowerMedAI has the right to use such data for any lawful purpose.
Force Majeure
Performance obligations may be suspended due to circumstances beyond reasonable control, except for payment obligations.
Non-Waiver
No alteration or waiver of these terms will be valid unless in writing and signed by the concerned party.
Jurisdiction
Disputes will be settled in a court of competent jurisdiction in New Castle County, Delaware. Customer consents to the jurisdiction of said courts.
Applicable Law
This agreement shall be governed by the laws of the State of Delaware.
